AIRA Webinar | RG 247 Effective Disclosure of Operating & Financial Reviews

Further to our recent Member Update, I am delighted to advise that AIRA will be hosting a webinar to discuss ASIC’s recently released Regulatory Guide 247 and the implications for listed entities annual reports and operating & financial reviews.

As we have communicated previously, it is ASIC's desire that the guide promote more meaningful information and analysis for investors. RG-247 also includes guidance on:

appropriate standards of disclosure through the inclusion of worked examples;
the use of the 'unreasonable prejudice' exemption from disclosing specific business strategies and prospects; and
presentation of the analysis and narrative relating to operations and financial position.

Guidance Note 8 Update

AIRA is delighted to provide its Members with an archive webcast that provides an overview and transcript of ASX’s recently released updates to Guidance Note 8 of the Listing Rules and the implications for listed entities. Throughout the 30 minute webcast David Barnett, general manager, listings, Australian Securities Exchange and Quentin Digby, partner, Herbert Smith Freehills talk through some of the key changes including: reference to “immediacy”; social media; earnings surprises / guidance; and, trading halts. AIRA Webcast : Debt Investor Relations & The Emergence of the Australian Corporate Bond market

Large, medium and small Australian companies could benefit from being able to issue debt to Australian retail and institutional investors (that is, corporate bonds) in a cost-effective way. Currently, the process for issuing corporate bonds to retail investors is costly and onerous compared to other avenues for raising funds as the law requires the issuing of a full prospectus and directors are subject to personal liability for the content of the prospectus. Richard Nelson and Will Rayner provide and overivew give practial tips on dealing with credit rating agencies and the importance of S&P in this process.

The analysis used annual report shareholder data aggregated by Morningstar, to document the composition of share ownership in Australia during the period 2002 to 2011. The sample included companies included in the S&P/ASX 300 Index at any time during this period.

2012 Investor Relations Benchmarking Survey

Every two years, the Australasian Investor Relations Association (AIRA) conducts a detailed survey of investor relations practices, preferences and trends. In April / May 2012, investor relations practitioners representing all industry sectors and working in ASX 200 listed
entities were invited to participate in an online questionnaire. This year 60 responses were received from companies representing entities from Australia and New Zealand listed on
the Australian Securities Exchange. As in previous years, the research sought to identify the factors influencing the role played by investor relations.

In February 2011 a survey was conducted of 150 Investor Relations Practitioners working in ASX 200 listed companies. The purpose was to seek information about their budgets and time allocation for Investor Relations (IR) activities and the ways these were likely to change in 2011. AIRA 2010 IR Intentions Survey

The recognition of the importance of investor relations activities is seen in the results of the AIRA IR Intentions Survey for 2010, the majority of IR practitioner respondents intend to allocate more time to IR activities this year. Listed Entities are making developments to IR programmes in 2010, with numerous respondents stating the addition of new activities including investor days, strategy updates and site tours.

can to putting a tangible number on the value of IR. Last year a nationally representative sample of 250 buy-side investors were surveyed, from various industries on, among other things, whether or not good IR has a meaningful impact on a firm’s valuation – essentially three out of four (73%) said they believe that good IR does have an impact.
